Moleculin Biotech, Inc. has filed a corporate amendment to implement a 1-for-20 reverse stock split of its common shares. The company announced on October 16, 2026, that the split will take effect at 12:01 a.m. Eastern Time on October 20, 2026, with trading resuming on The Nasdaq Capital Market on a post-split basis under the existing ticker symbol MBRX.
The filing was submitted to the Secretary of State of Delaware to modify the company's amended and restated certificate of incorporation. Following the split, every 20 previously issued and outstanding shares of common stock will be consolidated into a single share. The nominal par value per share will remain unchanged at $0.001. Stockholders holding a number of shares not evenly divisible by the split ratio will not receive fractional shares; instead, they will be entitled to a cash payment in lieu of the fraction.
The transaction is expected to reduce the number of outstanding common shares from approximately 20.9 million to approximately 1.05 million. The total number of authorized common shares will remain at 500 million. A new CUSIP number, 60855D 507, will be assigned to the post-split stock.
Moleculin Biotech describes itself as a Phase 3 clinical stage pharmaceutical company developing therapeutic candidates for hard-to-treat tumors and viruses. Its lead program is Annamycin, also known as naxtarubicin, an anthracycline designed to avoid multidrug resistance mechanisms and lack the cardiotoxicity associated with currently prescribed anthracyclines. The drug is in development for treating relapsed or refractory acute myeloid leukemia (AML) and soft tissue sarcoma lung metastases.
The company is currently conducting the MIRACLE trial, a pivotal, adaptive design, multi-center, randomized, double-blind, placebo-controlled Phase 2/3 trial. This study evaluates Annamycin in combination with cytarabine, referred to as AnnAraC, for AML treatment. Moleculin states that following a successful Phase 1B/2 study, it believes it has substantially de-risked the development pathway toward potential approval for AML, subject to future filings and feedback from the FDA and foreign equivalents.
The pipeline also includes WP1066, an Immune/Transcription Modulator targeting brain tumors and pancreatic cancers by inhibiting p-STAT3 and other oncogenic transcription factors while stimulating a natural immune response. Additionally, Moleculin is developing WP1122, an antimetabolite intended for the potential treatment of pathogenic viruses and certain cancer indications.
The company notes that it requires significant additional financing to conduct its clinical trials, for which it has no current commitments. The milestones described in its disclosures assume the ability to secure this financing on a timely basis. These statements are forward-looking and involve risks and uncertainties that could cause actual results to differ materially.
