State legal action has been the obstacle keeping Paramount and Warner Bros. Discovery from completing their proposed merger.
Paramount is in talks to resolve an antitrust lawsuit, a legal challenge asserting the deal would harm competition, that a dozen Democratic states filed to block the transaction.
Settling the case would clear the path for the $111 billion tie-up to proceed. Antitrust law governs whether a deal concentrates too much of a market in too few hands.
Federal agencies run their own reviews of large mergers, but state attorneys general can file independent suits on the same grounds. State courts operate on a separate track from federal regulators.
