Specialty care, the pharmaceutical segment built around medicines for specific disease categories rather than broad consumer conditions, just got a notable consolidation in Europe. Alfasigma, a privately held Italian pharmaceutical company with products in more than 100 markets, agreed to buy Nordic Group from SEVER Life Sciences through a share purchase agreement covering 100 percent of Nordic Group's shares and all subsidiaries. No financial terms were disclosed. The deal requires regulatory clearances before it closes.

What the acquisition brings

The asset most central to Alfasigma's rationale is Nordic Pharma's rheumatoid arthritis business, led by the Nordimet methotrexate franchise. Nordimet will join Alfasigma's existing rheumatology portfolio, which currently includes Jyseleca, a drug approved for second-line treatment of inflammatory and autoimmune diseases including rheumatoid arthritis and ulcerative colitis. Alfasigma markets Jyseleca in the European Union, the European Economic Area, and the United Kingdom.

The deal also covers Nordic Pharma's product lines in women's health, critical care, and ophthalmology.

What the map looks like after

Following the transaction, Alfasigma will operate directly in 18 European countries and extend its commercial activities to Canada and Japan. Approximately 265 employees from Nordic Group are expected to join Alfasigma. The company currently employs around 4,000 people.

Alfasigma CEO Francesco Balestrieri said the company is following a deliberate strategy to build its global specialty and rare disease business, centered on gastroenterology and immunology and what he described as areas of significant unmet need. He said the Nordic Group deal is a decisive step in that direction, strengthening Alfasigma's European presence and adding rheumatology portfolio depth. Combining the two companies' portfolios, scientific expertise, and teams, he said, positions Alfasigma to deliver more for patients and shareholders. Nordic Group CEO Charlotte Phelps said Alfasigma is the right partner for Nordic Pharma as it enters its next phase of growth, and described both organizations as patient-focused, grounded in science, and entrepreneurial.
